ReziScore Terms and Conditions

1. Agreement to terms

These Terms and Conditions ("Terms") form a binding agreement between Golden Health Services LLC and the organization that subscribes to or uses the ReziScore service (the "Customer," "you," or "your"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy and, where ReziScore processes Protected Health Information ("PHI"), the Business Associate Agreement (BAA) executed between the parties.

2. The Service

ReziScore is a web-based application that digitizes the Maryland Resident Assessment Tool (Form 4506) and the Level of Care Scoring Tool under COMAR 10.07.14, including assessment workflows, resident placement tracking, reassessment reminders, audit logging, and document export. The Service is provided as software only; it is an administrative and documentation tool and does not provide medical advice, clinical judgment, or a substitute for professional evaluation. Level-of-care scores are computed from the data you enter and must be reviewed by qualified personnel. You are solely responsible for clinical and admission decisions.

3. Eligibility and accounts

The Service is intended for assisted-living facilities and their authorized workforce members who are 18 or older. You must provide accurate registration information and keep it current. You are responsible for all activity under your accounts, for maintaining the confidentiality of credentials, and for promptly notifying us of any unauthorized use. Each User must have their own credentials; credential sharing is prohibited. We assign roles (owner, manager, nurse, staff) with differing permissions; you are responsible for assigning roles appropriately.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • access or use the Service except as authorized, or attempt to circumvent its security, authentication, rate limiting, or tenant isolation;
  • upload unlawful, infringing, or malicious content, or any data you lack the right or authority to provide;
  • use the Service to provide services to organizations other than your own without our written consent;
  • reverse engineer, decompile, scrape, or create derivative works of the Service except as permitted by law;
  • interfere with or disrupt the integrity or performance of the Service; or
  • use the Service in violation of HIPAA, COMAR, MPIPA, MCMRA, or any other applicable law.

5. Customer data and responsibilities

"Customer Data" means data you submit to the Service, including resident records and PHI. As between the parties, you own and are responsible for Customer Data, including its accuracy, legality, and your right to submit it. You represent that you have obtained all necessary authorizations and have a lawful basis to provide Customer Data and to have us process it. You are responsible for configuring access, managing your Users, and ensuring your use complies with your own legal and regulatory obligations as a Covered Entity or Business Associate.

6. HIPAA and the Business Associate Agreement

To the extent ReziScore creates, receives, maintains, or transmits PHI on your behalf, ReziScore acts as your Business Associate, and the parties' obligations regarding PHI are governed by the BAA, which is incorporated into these Terms. In the event of any conflict between these Terms and the BAA with respect to PHI, the BAA controls. You agree to use the Service only in a manner consistent with HIPAA and the BAA, and not to submit PHI before a BAA is in effect. We maintain BAAs with subprocessors that may handle PHI, as described in the Privacy Policy.

7. Subprocessors and third-party services

We use the subprocessors identified in the Privacy Policy to operate the Service. Your use of the Service may rely on third-party services (e.g., hosting, database, email, and AI extraction providers). We remain responsible for our subprocessors' handling of Customer Data as required by the BAA and applicable law.

8. Fees, subscriptions, and billing

  • Plans. The Service is offered in subscription tiers. The plan names, prices, features, and limits in effect at any time are those published at https://ReziScore.com/pricing, which governs and may be updated from time to time. As of the effective date, tiers include a free Starter plan and paid plans; the current paid plans and prices are as shown on that page.
  • Trial and grace. Paid plans may include a 14-day free trial that requires no payment card. If no payment method is added by the end of the trial, the subscription is canceled and a limited grace period (currently 7 days of continued access) applies before the account is downgraded to the Starter tier.
  • Payment. Paid subscriptions are billed through our third-party payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method until you cancel. You are responsible for applicable taxes.
  • Changes and renewals. Subscriptions renew automatically for successive periods unless canceled before the renewal date. We may change prices on prospective renewal with reasonable prior notice.
  • Cancellation and refunds. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

9. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Golden Health Services LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your internal business purposes and subject to these Terms. You retain all rights in Customer Data and grant us a limited license to host, process, and transmit it solely to provide and support the Service. We may use de-identified, aggregated data (containing no PHI and not identifying you) to operate and improve the Service.

10. Confidentiality

Each party may access the other's confidential information. Each party agrees to protect the other's confidential information with at least reasonable care and to use it only as needed to perform under these Terms. This Section does not limit either party's obligations under the BAA, which governs PHI.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SCORE OR OUTPUT IS ACCURATE OR FIT FOR A PARTICULAR CLINICAL OR REGULATORY DECISION. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL OUTPUTS AND FOR ALL CARE AND ADMISSION DECISIONS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. EXCEPT FOR EACH PARTY'S INDEMNIFICATION OBLIGATIONS, A PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, YOUR PAYMENT OBLIGATIONS, AND EITHER PARTY'S OBLIGATIONS UNDER THE BAA, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless Golden Health Services LLC and its officers, employees, and agents from and against any third-party claims, damages, and costs (including reasonable attorneys' fees) arising out of (a) Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your breach of the BAA, except to the extent caused by our breach of these Terms or the BAA.

14. Term, suspension, and termination

These Terms apply while you use the Service. We may suspend or terminate access if you materially breach these Terms (including non-payment) or if your use poses a security or legal risk, with notice where practicable. You may terminate by canceling your subscription and ceasing use. Upon termination, your right to use the Service ends, and we will return or delete PHI as required by the BAA. Sections that by their nature should survive termination (including Sections 9 - 13 and 15) survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Montgomery County, Maryland, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to these Terms

We may modify these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.

17. General

These Terms (with the Privacy Policy and the BAA) are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to info@reziscore.com.
